Scope

These Terms apply to all users of BEX, including guests, buyers, vendors, administrators, and authorized representatives of organizations using the platform.

Definitions

* **BEX** means BizExchangeX and its affiliates.

* **Buyer** means an organization seeking products or services.

* **Vendor** means an organization offering products or services.

* **User** means any individual accessing the platform.

* **Content** means information, documents, bids, contracts, and other materials submitted to the platform.

Acceptance of Terms

By accessing or using BEX, users agree to these Terms and all referenced policies.

If a user does not agree to these Terms, they may not access or use the platform.

Eligibility

Users must:

* Be at least 18 years old.

* Have authority to act on behalf of their organization.

* Provide accurate and current information.

* Maintain the confidentiality of account credentials.

Platform Services

BEX provides a procurement marketplace that enables buyers and vendors to discover opportunities, exchange information, submit bids, and manage procurement workflows.

BEX is not a party to agreements executed between buyers and vendors unless explicitly stated in writing.

User Rights

Users may:

* Access authorized platform functionality.

* Request access to their personal information as permitted by law.

* Request correction or deletion of personal information where applicable.

* Receive notice of material changes to these Terms.

User Responsibilities

Users agree to:

* Comply with applicable laws and regulations.

* Maintain accurate account information.

* Protect account credentials.

* Use the platform only for legitimate business purposes.

* Respect intellectual property rights.

* Refrain from prohibited activities defined in the Acceptable Use Policy.

BEX Responsibilities

BEX will:

* Maintain reasonable administrative, technical, and physical safeguards.

* Provide access to published policies.

* Process personal information according to the Privacy Policy.

* Maintain audit records and operational controls.

Intellectual Property

BEX retains all rights, title, and interest in the platform, software, trademarks, content, workflows, and documentation except for user-provided content.

Users retain ownership of their submitted content and grant BEX a limited license to process and display such content to provide platform services.

Disclaimers

The platform is provided on an "as is" and "as available" basis.

BEX does not guarantee uninterrupted service, specific business outcomes, or the accuracy of information provided by third parties.

Limitation of Liability

To the maximum extent permitted by law, BEX will not be liable for indirect, incidental, special, consequential, or punitive damages arising from platform use.

Termination

BEX may suspend or terminate access for violations of these Terms, legal requirements, security concerns, or misuse of the platform.

Governing Law

These Terms are governed by applicable laws identified in the governing agreement between BEX and the applicable organization.
